If you sell to resellers, wholesalers, distributors, or other exempt B2B customers, not every sale is taxable. An exemption is not automatic: the customer must provide a valid certificate, and the business must collect, validate, and retain it for as long as the exemption applies.

If an auditor finds an exempt sale without a valid certificate, liability can shift to the seller, including tax, penalties, and interest. The more exempt customers a business has, the more certificates it must track, validate, and renew.

Upload a ZIP and return to a triaged review queue with OCR completed, validation rules run, duplicates flagged, and customer matches suggested.

## How It Works

Bulk upload accepts ZIP, PDF, PNG, and JPG files, with up to 3,000 uploads at a time. Kintsugi extracts fields with OCR and runs certificates against a tax-research-curated catalog covering 125 certificate types across nearly all US jurisdictions.

The system checks whether the form is right for the state, required fields are present, the seller name matches the legal business name, dates make sense, and a duplicate is already on file.

When processing is complete, certificates are sorted into:

- **Ready to Approve:** Required fields extracted, customer matched, and validation passed.
- **Needs Review:** Customer matching failed, fields are incomplete, or a tax ID is shared.
- **Suggested Reject:** Extraction confidence is too low or validation rules failed.
- **Duplicate:** A certificate with the same jurisdiction, form, tax ID, and overlapping dates is already on file.
- **Unsupported:** The form is not yet in the catalog but remains visible and manually approvable.

The bulk-approve action handles the safe bucket, while judgment calls remain with the team.
